Acceptance of Terms
By engaging with Daitalink (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions. If you do not agree, you should not use our services.
Nature of Services
Daitalink provides fully managed conversation oversight, AI performance oversight, operational reinforcement, training, testing, and business performance systems designed to improve operational consistency, customer interaction quality, communication standards, and business performance.
Services may include:
- Conversation training and reinforcement
- AI oversight and operational review
- Customer interaction testing and monitoring
- Communication and workflow reinforcement
- AI compliance support and operational guidance
- Phone, messaging, scheduling, and interaction systems
- Simulation and performance reinforcement
- Operational analysis and optimization
- System integration and operational alignment
Services are dynamic and may evolve over time as part of ongoing operational improvement and management.
2A — Artificial Intelligence Systems
Daitalink services may utilize artificial intelligence (“AI”), machine learning systems, language models, automation systems, voice systems, simulation systems, predictive systems, scoring systems, and related technologies as part of service delivery, operational optimization, analysis, communication workflows, monitoring, reinforcement, and training.
Client acknowledges and agrees that:
- AI-generated outputs may contain inaccuracies, omissions, hallucinations, outdated information, or unintended results
- AI systems are assistive technologies and are not substitutes for human judgment, legal advice, medical advice, financial advice, or professional decision-making
- Daitalink does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated outputs
- Client remains responsible for reviewing, validating, approving, and overseeing all operational, legal, financial, compliance, and business decisions
- Daitalink may continuously modify, retrain, optimize, or reconfigure AI systems as part of ongoing managed operations
- AI-related services may include evolving or experimental technologies whose behavior may change over time
Managed Service Model
By engaging Daitalink, Client acknowledges and agrees that:
- Daitalink actively designs, implements, operates, monitors, and improves system components
- System configurations, workflows, prompts, reinforcement systems, operational structures, and processes may change over time
- Modifications may occur based on operational findings, performance data, evolving AI behavior, compliance considerations, business requirements, or continuous improvement efforts
- Daitalink is not responsible for maintaining static configurations where operational improvement or risk reduction requires changes
Fees and Payment
Fees are based on the operational scope, complexity, oversight requirements, management hours, reinforcement requirements, and performance needs of the engagement.
- Services are billed on a recurring monthly basis unless otherwise agreed in writing
- Payment terms are defined in the applicable agreement, proposal, or invoice
- Late or non-payment may result in suspension, restriction, or termination of services
- All fees are non-refundable unless otherwise agreed in writing
No Guarantee of Specific Outcomes
Daitalink is designed to improve operational consistency, conversation quality, oversight, and business performance; however, no guarantees are made regarding revenue increases, cost reductions, lead generation, conversion rates, staffing reductions, operational efficiency gains, customer retention, legal or regulatory compliance, or AI performance outcomes.
Results vary based on market conditions, Client participation, operational execution, third-party systems, internal business operations, staffing and management, and external infrastructure and dependencies.
Client Responsibilities
Client agrees to:
- Provide accurate and complete information
- Maintain appropriate operational oversight
- Grant access to necessary systems and platforms
- Respond to requests, approvals, or clarifications in a timely manner
- Comply with all applicable laws and regulations
- Maintain appropriate human review and decision-making processes
- Review and approve communications, outputs, workflows, and operational actions where appropriate
Failure to meet these responsibilities may impact performance, oversight effectiveness, and operational outcomes.
6A — Responsible Use of AI Systems
Client agrees not to use Daitalink systems or services to generate unlawful, fraudulent, defamatory, discriminatory, deceptive, or misleading content; impersonate individuals without authorization; create deceptive synthetic media or unauthorized voice clones; violate privacy, consumer protection, employment, intellectual property, or communications laws; upload or process information without proper authorization or consent; or misuse AI-generated outputs in a manner inconsistent with applicable laws or regulations.
Client acknowledges that final responsibility for operational decisions, communications, approvals, and business activities remains solely with the Client.
Data Usage, AI Processing, and System Operation
Daitalink may process operational and interaction data necessary to operate, maintain, improve, secure, reinforce, analyze, and optimize services, including call and interaction data, voice recordings and transcripts, chat and messaging data, scheduling and communication information, performance and behavioral data, workflow and operational usage data, and AI-generated outputs and interaction analysis.
Client acknowledges that AI systems may process operational and submitted data; certain services may involve automated analysis, recommendations, summaries, or generated outputs; and interactions may be recorded, transcribed, analyzed, monitored, or scored for operational, training, quality assurance, compliance, optimization, reinforcement, or security purposes.
While Daitalink implements commercially reasonable safeguards, no platform, system, AI infrastructure, cloud provider, or transmission method can be guaranteed to be fully secure, uninterrupted, or error-free.
Confidentiality
Each party acknowledges that during the course of engagement it may receive or access confidential or proprietary information (“Confidential Information”), including business operations, strategies, pricing, customer information, workflows, system configurations, operational methods, prompts, reinforcement systems, and AI structures.
Both parties agree to maintain confidentiality, use Confidential Information solely for purposes related to the engagement, and take reasonable measures to prevent unauthorized disclosure. These obligations do not apply to information that becomes publicly available through no fault of the receiving party, was lawfully known prior to disclosure, or must be disclosed by law or legal process.
Third-Party Dependencies
Daitalink systems may rely upon third-party providers and infrastructure, including telecommunications providers, cloud providers, AI and language model platforms, hosting services, scheduling systems, CRM systems, automation platforms, transcription providers, and voice providers. Daitalink is not responsible for outages, interruptions, limitations, failures, inaccuracies, policy changes, or disruptions caused by third-party providers.
9A — Third-Party AI Platforms
Certain Daitalink services may rely upon third-party AI providers, language models, automation systems, cloud providers, voice providers, or transcription systems. Daitalink does not control and is not responsible for changes in third-party AI behavior, model interruptions or outages, AI-generated inaccuracies, variable or inconsistent outputs, provider policy changes, or limitations inherent to probabilistic AI technologies. Client acknowledges that AI systems may produce variable or evolving outputs over time.
Intellectual Property
All systems, methodologies, operational structures, prompts, reinforcement systems, workflows, configurations, simulations, oversight processes, and operational methodologies developed or utilized by Daitalink remain the property of Daitalink unless otherwise agreed in writing. Clients are granted limited usage rights during active engagement only. Clients may not reproduce, distribute, resell, reverse engineer, duplicate, or repurpose any portion of Daitalink systems, methodologies, or operational structures without written authorization.
10A — AI-Generated Content
Unless otherwise agreed in writing, AI-generated outputs are provided as operational and assistive tools only. Daitalink makes no warranty regarding originality, exclusivity, non-infringement, legal protectability, or suitability of AI-generated content. Client remains responsible for reviewing, approving, validating, and overseeing all public-facing, regulated, legal, financial, or compliance-sensitive content prior to use.
Termination
Either party may terminate engagement subject to the terms outlined in the applicable agreement. Upon termination, Daitalink-managed operations may cease, access to systems or managed components may be discontinued, outstanding balances remain due, and Daitalink may remove or disable managed systems or integrations.
Limitation of Liability
To the fullest extent permitted by law, Daitalink shall not be liable for indirect, incidental, special, exemplary, or consequential damages; loss of revenue, profits, business opportunities, goodwill, or data; operational interruptions or business disruption; damages caused by third-party systems, platforms, providers, or infrastructure; or delays, interruptions, inaccuracies, or failures involving AI systems, automation systems, telecommunications providers, cloud providers, or external dependencies.
12A — AI System Limitation
Client acknowledges that artificial intelligence systems are evolving and probabilistic technologies and may generate inaccurate, incomplete, offensive, misleading, outdated, unexpected, or incorrect outputs. To the fullest extent permitted by law, Daitalink shall not be liable for damages arising from AI-generated inaccuracies or hallucinations, automated recommendations or generated outputs, voice recognition or transcription errors, AI scoring or simulation behavior, model drift or evolving AI behavior, third-party AI platform outages or limitations, or business decisions made based on AI-generated information.
12B — No Legal or Regulatory Guarantee
Daitalink may assist with operational oversight, AI governance support, communication standards, conversation reinforcement, workflow review, or compliance-related processes; however, Daitalink does not provide legal advice, regulatory certification, or guarantees of legal or regulatory compliance. Client remains solely responsible for compliance with applicable laws and regulations, legal review and approval, regulatory filings or obligations, industry-specific requirements, customer disclosures and consent requirements, and review and approval of communications, workflows, AI outputs, and customer-facing content.
12C — Client Indemnification
Client agrees to defend, indemnify, and hold harmless Daitalink, its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, penalties, fines, judgments, costs, or expenses (including reasonable attorneys' fees) arising from or related to Client's use or misuse of Daitalink systems or services, Client-provided content or materials, unauthorized or unlawful use of AI systems, failure to obtain legally required disclosures or consent, violation of applicable laws or regulations, or use of AI-generated outputs without appropriate review or validation.
12D — Force Majeure
Daitalink shall not be liable for delays, interruptions, failures, degraded performance, or inability to provide services resulting from causes beyond its reasonable control, including internet or telecommunications failures, cloud infrastructure outages, AI platform interruptions, cyber incidents, utility failures, acts of government, labor disputes, natural disasters, war, terrorism, pandemics, supply chain disruptions, or third-party platform failures.
Modifications
Daitalink reserves the right to modify or update these Terms and Conditions at any time. Continued engagement or use of services constitutes acceptance of any revised terms.
13A — Recording and AI Interaction Disclosure
Client acknowledges that Daitalink systems may utilize AI-powered voice, chat, transcription, routing, scoring, simulation, monitoring, automation, and analysis technologies. Interactions may include notices that communications involve AI systems, communications may be recorded or transcribed, and interactions may be analyzed for operational, quality assurance, training, compliance, optimization, reinforcement, or security purposes. Client is responsible for ensuring compliance with any disclosure, consent, recording, or regulatory obligations applicable to its business operations.
Governing Law
These Terms and Conditions shall be governed by and construed under the laws of the State of Texas, without regard to conflict of law principles.
